1. Agreement to These Terms

We want your travel to be exceptional, and clear expectations are part of how we deliver that. These Terms set out what you can expect from us, what we need from you, and how we handle the situations that occasionally arise in travel, changes, cancellations, and third-party suppliers. Please take a few minutes to read them.

These Terms of Service (the "Terms")form a legally binding agreement between you ("Client," "you") and JustKeeps Travel, LLC, a Florida limited liability company ("JustKeepsTravel," "Company," "we," "us").

These Terms apply when you access or use ourwebsite and any related pages or booking portals we operate (the "Site"), request a quote or proposal, book travel through us, or submit payment to us.

By submitting payment, whether by wire transfer, credit card, ACH, or any other method, or by approving a proposal, quote, or itinerary in writing through any electronic means, you confirm that you have read, understood, and agree to be bound by these Terms in full.

If you do not agree to these Terms, do not usethe Site or engage our services.

1.1  Record of assent.

You agree that your electronic acceptance, by checking an acceptance box, clicking an acceptance button, replying affirmatively to a proposal, or submitting payment, constitutes your signature and creates a binding agreement. We retain records of the version of these Terms in effect at the time of your acceptance, together with the date, time, and method of acceptance, and you agree that such records are admissible and conclusive evidence of your agreement in any dispute, chargeback proceeding, arbitration, or legal action.

2. About Us

JustKeeps Travel, LLC is a Florida limited liability company operating as a full-service travel agency and luxury travel advisory. We arrange leisure, executive, group, and event travel, and we work with a global network of hotels, villas, cruise lines, tour operators, and destination partners on our clients' behalf.

We act as an agent in arranging travel with third-party Suppliers. Section 3 explains what that means for your booking.

3. Our Role: Agent, Not Supplier

3.1  JustKeeps Travel acts as a travel agent and booking intermediary.

We arrange travel services on your behalf with third-party suppliers, including airlines, hotels, villa owners and managers, cruise lines, tour operators, ground transportation providers, and event vendors (each a "Supplier").

3.2  We are not the owner

operator, or provider of the travel services you purchase. The Suppliers are independent contractors and are not our agents, employees, or partners. We do not control and cannot guarantee their acts, omissions, standards, safety practices, or performance.

3.3 Your use of Supplier services

is governed by each Supplier's own terms and conditions, which apply in addition to these Terms and which you are responsible for reviewing. Where a Supplier's terms are more restrictive than ours, the Supplier's terms govern that portion of your travel. Copies are available on request.

3.4 Concierge and bespoke services.

Certain concierge, event, entertainment, executive travel, and bespoke services involve third-party providers selected on the basis of availability, location, timing, or your stated preferences. While we exercise reasonable care in selecting such providers, they remain independent contractors and are solely responsible for the services they provide. We do not supervise, direct, or guarantee their work, and our role remains that of an agent arranging the engagement on your behalf.

3.5 Supplier insolvency.

We are not responsible for the financial failure, insolvency, bankruptcy, receivership, or cessation of operations of any Supplier, or for any resulting loss of deposits, payments, or services. Protection against Supplier failure is available through travel insurance and, in some cases, through your payment card issuer, and we encourage you to secure it.

3.6 Compensation disclosure.

We may receive commissions, overrides, incentives, or other compensation from Suppliers, insurers, host agencies, or consortia in connection with bookings we place on your behalf, in addition to any fees you pay us directly. This is standard practice in the travel industry. We select Suppliers based on suitability for your travel, and the availability of compensation does not determine our recommendations. Where required by applicable law, we will disclose compensation information relating to your booking upon written request.

3.7 Supplier cancellation

change, and refund policies apply independently of these Terms. We cannot obtain a refund, credit, or waiver where none is available under the applicable Supplier's terms.

4. Eligibility

4.1 You must be at least 18 years old and legally capable of entering into binding contracts to use our services.

4.2 If you book on behalf of others, you represent that you are authorized to accept these Terms on their behalf and that you will convey all relevant information, terms, and travel documents to them. You remain responsible for all payments and for the conduct of everyone in your party.

4.3 Joint and several liability. Where a booking covers more than one traveler, the person who arranges and approves the booking and every traveler in the party are jointly and severally liable for all amounts due under these Terms. We may pursue any one of them for the full amount owed.

5. Quotes, Proposals, and Confirmed Scope

5.1 Quotes, proposals, and itineraries are estimates based on availability and pricing at the time of preparation. They are not guaranteed until booked and confirmed in writing by us.

5.2 Availability, pricing, taxes, fees, and surcharges are set by Suppliers and may change at any time before a booking is confirmed and paid.

5.3 Confirmed Scope. Once a proposal, quote, or itinerary is approved by you in writing through any electronic communication, the scope of services is locked.

5.4 Changes after approval. Any change you request after approval may be subject to a change fee charged by JustKeeps Travel for the additional planning, coordination, and administrative work involved. Where a change fee applies, we will quote it to you in writing before we process the change, and it is payable in advance. This fee is separate from, and in addition to, any Supplier change fees, fare differences, rate increases, or cancellation penalties, all of which are your responsibility.

5.5 Changes cannot be guaranteed. Some fares, rates, and reservations are non-changeable once confirmed, and a requested change may not be available at any price.

5.6 We may decline any booking request at our discretion.

6. Electronic Communications as Binding Authorization

6.1 Written approvals, booking confirmations, and service authorizations communicated by you via email, WhatsApp, SMS, iMessage, or any other verifiable electronic platform are legally binding and constitute full authorization for JustKeeps Travel to proceed with, book, and charge for the confirmed services.

6.2 You agree that such electronic communications satisfy any requirement that an agreement be in writing and signed, under the federal E-SIGN Act, the Florida Uniform Electronic Transaction Act, and any comparable law.

6.3 We may rely on and produce such communications as evidence of your authorization in any dispute, chargeback proceeding, arbitration, or legal action.

6.4 You are responsible for the security of your email and messaging accounts. We may act on any instruction that reasonably appears to come from you.

6.5 Retention of communications. We retain electronic communications relating to your bookings as business records, and you consent to that retention and to their use as described in Section 6.3.

6.6 Recorded calls. We may record or take notes of telephone calls for quality, training, and recordkeeping purposes where permitted by law. Where consent is required, we will notify you at the start of the call and you may decline.

7. Payment

7.1 Payment amounts, deposit requirements, and due dates are set out in the invoice, proposal, or payment schedule issued to you. Those documents form part of your agreement with us.

7.2 Your booking is confirmed only when the required payment has been received and we have confirmed the booking to you in writing. Until then, availability and pricing remain subject to change.

7.3 If any payment is not received by its due date, your booking may be cancelled by us or by the Supplier, and the cancellation terms in Section 9 will apply to amounts already paid. Late payment may also result in loss of fares, rates, or inventory that cannot be reinstated.

7.4 You are responsible for any bank fees, wire fees, currency conversion charges, or foreign transaction fees imposed by your financial institution.

7.5 Service fees, planning fees, and consultation fees charged by JustKeeps Travel are earned upon performance of the corresponding work and are non-refundable, separate from any Supplier costs. These fees compensate us for professional planning, destination research, supplier sourcing and coordination, itinerary design, and the administrative work performed before, during, and after your booking. This work is delivered whether or not you ultimately travel.

7.6 Interest on past-due amounts. Any amount not paid when due bears interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by Florida law if lower, from the due date until paid in full.

7.7 Collections. If any amount remains unpaid, we may refer the account to a third-party collection agency or attorney. You are responsible for all costs of collection, including collection agency fees, court costs, and reasonable attorneys' fees, in addition to the amount owed and accrued interest.

7.8 Authorization and payment method integrity. You represent that you are the authorized holder of any payment method you provide and that you have authority to charge it in the amounts approved. You agree not to instruct your bank or card issuer to stop payment, revoke authorization, or reverse a charge for services confirmed and delivered under Section 8. This subsection is subject to Section 10.9 and is not intended to waive or restrict any right you hold under applicable law or under your card issuer's or payment network's rules. You will notify us promptly of any change to a payment method used for a future scheduled payment.

7.9 Fraud prevention. We may verify your identity and the validity of your payment method before confirming a booking, and may decline or cancel any booking we reasonably believe to be fraudulent, unauthorized, or in violation of these Terms.

8. Definition of Service Delivery

Services are deemed fully delivered upon any of the following:

  • Written confirmation of vendor, hotel, villa, transportation, activity, or event bookings;
  • Delivery of a travel itinerary, reservation documents, vouchers, or access credentials;
  • Physical execution of any reserved service on your behalf; or
  • Performance of planning, research, consultation, or coordination work for which a service fee was charged.

Delivery does not require your physical use or enjoyment of the service. A confirmed and documented booking is a delivered service whether or not you travel.

9. Cancellations, Refunds, and Credit Memos

9.1 All bookings are non-refundable. Except where a different cancellation or refund arrangement is expressly stated in your booking confirmation, invoice, or a separate written agreement signed by an authorized representative of the Company, all payments made in connection with a booking are non-refundable in full, regardless of the reason for cancellation and regardless of how far in advance of travel the cancellation occurs.

9.2 Where terms differ. Some bookings carry cancellation or refund terms specific to the Supplier, the property, the fare, or the arrangement. Where such terms apply, they will be stated in your booking confirmation or invoice and will govern that booking. In the absence of a stated alternative, Section 9.1 applies.

9.3 Supplier terms apply independently. Every Supplier sets its own cancellation, change, and refund policy, and those policies apply in addition to these Terms. Supplier terms are frequently more restrictive than ours and may impose penalties, forfeitures, or non-refundable conditions we cannot waive. We cannot obtain a refund, credit, or waiver where none is available under the applicable Supplier's terms.

9.4 Credit memos. Where we determine that a credit memo is appropriate, or where a Supplier issues us a future travel credit on your booking, we may issue you a credit memo in place of a refund. A credit memo expires twelve (12) months after the date it is issued and is applicable to future JustKeeps Travel services only. The expiration date will be stated on the credit memo when issued. Credit memos are non-transferable, have no cash value, and cannot be redeemed for cash or applied retroactively. Nothing in these Terms obligates us to issue a credit memo.

9.5 Deposits and no-shows. Non-refundable deposits are forfeited in full upon cancellation. No-shows and unused portions of a booking forfeit one hundred percent (100%) of the amounts paid, with no refund or credit.

9.6 Service fees. Service fees, planning fees, and consultation fees earned under Section 7.5 are non-refundable in all circumstances, including where a booking is cancelled, changed, or never travelled.

9.7 Limited exceptions. Notwithstanding Section 9.1, the following apply:

  • (a) JustKeeps Travel fails to deliver a service as defined in Section 8;
  • (b) A Supplier issues a refund or credit to us on your booking, in which case we will pass through to you whatever amount we actually receive, less any non-recoverable third-party fees and less any service fees earned under Section 7.5; or
  • (c) A refund is required by applicable law.

We do not guarantee any Supplier recovery and are under no obligation to pursue one, though we will make reasonable efforts to do so on your request.

9.8 No course of dealing. Any refund or credit granted by the Company in a particular instance is a one-time accommodation, does not establish a course of dealing, and does not obligate the Company to grant any future refund or credit under similar circumstances. No statement, representation, or course of conduct by any employee, independent agent, or representative of the Company creates any refund obligation absent a signed writing. Verbal assurances, informal messages, and goodwill gestures are not binding on the Company.

9.9 How to cancel. All cancellation requests must be made in writing to Hello@justkeepstravel.com and are effective when received by us during normal business hours. For purposes of these Terms, "normal business hours" means Monday through Friday, 9:00 AM to 6:00 PM Eastern Time, excluding United States federal holidays. A request received outside those hours is treated as received at the start of the next business day. Cancellation is not effective until we confirm receipt.

10. Payment Disputes and Chargebacks

10.1  If you believe there is a problem with a charge, contact us first at Hello@justkeepstravel.com. We will review the matter in good faith and respond within ten (10) business days. Most billing questions are resolved without any need for a formal dispute.

10.2  Initiating a credit card chargeback or payment reversal for services that have been confirmed and delivered as defined in Section 8 constitutes a material breach of these Terms.

10.3  In the event JustKeeps Travel prevails in any chargeback, payment dispute, arbitration, or collection proceeding, you shall be liable for all chargeback fees, representment costs, collection costs, and reasonable attorneys' fees and expenses incurred by us in connection with that proceeding.

10.4  We reserve the right to pursue recovery of amounts owed through arbitration or civil litigation as provided in Section 20, and may submit all electronic communications, booking confirmations, itineraries, and Supplier records as evidence of authorization and delivery.

10.5  Evidence of delivery. You agree that the following records, alone or in combination, constitute sufficient evidence that services were authorized and delivered under Section 8: your written or electronic approval of a proposal, quote, or itinerary; booking confirmations issued by us or by any Supplier; itineraries, vouchers, or access credentials delivered to you; Supplier records of reservation, check-in, or use; and our records of assent under Section 1. You agree not to contest the authenticity or admissibility of such records in any proceeding.

10.6  Chargeback administration fee. If you initiate a chargeback or payment reversal for services confirmed and delivered under Section 8 and we prevail, you agree to pay an administrative fee of one hundred fifty dollars ($150.00) per disputed transaction to cover our documentation, representment, and processing costs. This fee is in addition to the amounts recoverable under Section 10.3 and is a reasonable estimate of costs that are difficult to calculate precisely, not a penalty.

10.7  Cooperation. If a payment dispute arises from unauthorized use of your payment method by a third party, you agree to cooperate reasonably with our investigation, including providing a written statement of the circumstances and, where applicable, a police report.

10.8  Suspension of service. We may decline to provide further services to, and may cancel any pending booking of, any Client with an unresolved payment dispute or outstanding balance. Cancellation under this Section is treated as a Client cancellation under Section 9.

10.9  Nothing in this Section is intended to waive, limit, or interfere with any right you hold under applicable law or under your card issuer's or payment network's rules. This Section defines the consequences under our agreement of a dispute brought over services already delivered.

11. Travel Insurance

11.1  Because our services are non-refundable, we strongly recommend that you purchase comprehensive travel insurance at the time of booking, including trip cancellation and interruption coverage, emergency medical and evacuation coverage, and baggage coverage.

11.2  JustKeeps Travel is not responsible for any cost, loss, or expense that could have been covered by travel insurance, including trip cancellation, trip interruption, medical treatment, emergency evacuation, missed connections, or lost or delayed luggage.

11.3  We are not an insurance company, are not licensed to sell insurance, and do not provide insurance advice. Coverage, exclusions, and eligibility are determined solely by the insurer and its policy documents, which you should read before purchasing. Many policies require purchase within a limited window following your initial trip deposit in order to cover pre-existing medical conditions.

11.4  If you decline travel insurance, you accept full financial responsibility for any loss arising from cancellation, interruption, or any other event affecting your travel.

12. Client Responsibilities

12.1 Travel documents. You are solely responsible for ensuring that every member of your party holds a valid passport meeting the destination's validity requirements, along with any required visas, transit permits, entry authorizations, or exit documentation.

12.2 Health and entry requirements. You are solely responsible for compliance with all destination health requirements, vaccination requirements, and safety and entry regulations, and for monitoring travel advisories issued by relevant authorities.

12.3 Accuracy of information. You are responsible for the accuracy of all names, dates of birth, passport details, and contact information you provide. Names must match travel documents exactly. Corrections after ticketing or booking may incur Supplier fees or may be impossible, and any resulting cost is yours.

12.4 Duty to review confirmations. You must review every quote, itinerary, invoice, and booking confirmation immediately upon receipt and verify that all names, dates, times, destinations, room and cabin categories, and inclusions are correct. You must report any error to us in writing within twenty-four (24) hours of receipt. Errors not reported within that period are deemed accepted, and you are responsible for all costs of correction, including Supplier change fees, fare differences, and rebooking costs, or for the loss of the booking where correction is not possible.

12.5 JustKeeps Travel is not liable for any cost, delay, denied boarding, denied entry, deportation, or loss resulting from your failure to comply with this Section, and no refund or credit will be issued in such circumstances.

12.6 Conduct. You are responsible for the conduct of your party and any guests. Suppliers may remove or refuse service to any person for unacceptable behavior, without compensation or refund.

13. Air Travel, Special Requests, and Group Bookings

Air Travel

13.1  Contract of carriage. Air transportation is provided subject to the issuing airline's conditions of carriage and tariff rules, which constitute the contract between you and that airline. Those terms govern the airline's obligations and limitations of liability and take precedence over these Terms as to the flight itself.

13.2  Schedule changes and disruptions. Airlines may change, delay, or cancel flights, change aircraft or seat assignments, and reroute passengers at their discretion. JustKeeps Travel is not responsible for schedule changes, delays, cancellations, missed connections, denied boarding, downgrades, or the resulting cost of accommodation, ground arrangements, or missed travel components. We will assist you in seeking remedies from the airline where reasonably possible.

13.3  Names and changes. Airline tickets are generally non-transferable and issued in the exact name shown on the passenger's passport or government identification. Name corrections after ticketing may incur fees or may be impossible, and some fares are non-changeable and non-refundable once issued. Any resulting cost is your responsibility.

13.4  Ticketing and fare rules. Fares are not guaranteed until ticketed. Fare rules, baggage allowances, seat selection charges, change fees, and refundability are set by the airline and vary by fare class. Award and mileage-redemption bookings are subject to the applicable loyalty program's rules.

13.5  Direct-purchase cancellation rights. Certain cancellation rights, including those under U.S. Department of Transportation rules for tickets purchased directly from an airline, may not apply to tickets issued through a travel agency. Ask us about the specific rules applicable to your ticket before purchase.

13.6  Reconfirmation. You are responsible for reconfirming flight times before departure and for monitoring airline notifications sent to the contact details you provided.

Special Requests and Accessibility

13.7  We will convey your special requests to the applicable Supplier, including accessibility and mobility needs, dietary requirements, allergies, medical considerations, connecting or adjoining rooms, bed configuration, early check-in, late check-out, and celebration arrangements.

13.8  Conveying a request is not a guarantee that it will be met. Fulfillment is at the Supplier's discretion and depends on availability. A request is confirmed only where the Supplier has confirmed it to us in writing, and we have passed that confirmation to you.

13.9  You are responsible for independently verifying that a property, vessel, vehicle, or activity meets your specific accessibility, medical, or dietary requirements. Accessibility standards, safety regulations, and food-handling practices vary considerably by country and are not equivalent to those in the United States. We are not liable for a Supplier's failure to meet a request or for the accuracy of a Supplier's accessibility descriptions.

13.10  You must disclose any medical condition, mobility limitation, or dietary restriction that could affect your travel at the time of booking. Failure to do so may result in refused service by a Supplier, without refund.

Groupand Corporate Bookings

13.11  Authority and responsibility. Where a booking is arranged for a group, corporate client, or organization, the individual or entity approving the booking (the "Group Organizer") warrants that it is authorized to bind the organization and every traveler in the group, and is responsible for all payments, deposits, and charges due under the booking.

13.12  Passing on information. The Group Organizer is responsible for distributing these Terms, all Supplier terms, itineraries, travel document requirements, and payment deadlines to every traveler, and for collecting accurate passenger information. We may communicate solely with the Group Organizer.

13.13  Attrition and minimums. Group bookings frequently carry contractual minimums for rooms, covers, attendees, or spend. If the group falls below a contracted minimum, attrition charges, room-block penalties, and food-and-beverage shortfall charges assessed by the Supplier are payable by the Group Organizer, regardless of the reason for the reduction and regardless of whether individual travelers cancelled.

13.14  Individual cancellations. The cancellation of one or more travelers does not release the Group Organizer from the obligations of the group contract. Amounts already paid or committed on behalf of a cancelling traveler are handled under Section 9 and the applicable Supplier terms.

13.15  Rooming lists and deadlines. Group deadlines for rooming lists, name submissions, and deposits are set by the Supplier and are strict. Missed deadlines may result in loss of inventory, rate increases, or cancellation of the block, and any resulting cost is the Group Organizer's responsibility.

13.16  Separate agreement. Group, corporate, and event engagements may be subject to a separate written agreement. Where such an agreement exists, it governs to the extent it conflicts with these Terms.

14. Pricing and Errors

14.1  Prices are quoted in U.S. dollars unless stated otherwise and are subject to change until a booking is confirmed and paid in full.

14.2  Suppliers may impose fuel surcharges, resort fees, taxes, port charges, and other increases after booking. Where a Supplier passes such an increase to us, it is payable by you.

14.3  In the event of an obvious pricing or descriptive error on the Site, in a quote, or in an itinerary, we reserve the right to correct it and to cancel any affected booking, refunding amounts paid on that booking as the sole remedy.

15. Force Majeure

JustKeeps Travel is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disaster, severe weather, fire, flood, earthquake, epidemic or pandemic, war, terrorism, civil unrest, strike or labor dispute, government action, border or airspace closure, Supplier insolvency, utility or telecommunications failure, or cyberattack. In such circumstances, applicable Supplier and insurance terms govern the availability of any refund or credit.

16. Use of the Site

16.1  License. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes.

16.2  Intellectual property. All content on the Site, including text, graphics, photographs, itineraries, logos, trade names, and the "JustKeeps Travel" mark, is owned by us or our licensors and protected by intellectual property law. You may not copy, reproduce, republish, distribute, scrape, or create derivative works from Site content without our prior written permission.

16.3  Prohibited conduct. You agree not to: use the Site for any unlawful purpose; make speculative, false, or fraudulent bookings; access the Site by automated means including bots, scrapers, or crawlers; attempt to gain unauthorized access to any system or account; interfere with the operation or security of the Site; or transmit malicious code.

16.4  User content. If you submit reviews, testimonials, photographs, or other content to us or to our social media channels, you grant JustKeeps Travel a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, adapt, and display that content for marketing and promotional purposes. You represent that you own or have the rights to any content you submit.

16.5  Your privacy in our marketing. We will never publicly identify you as a client, or use your name, likeness, itinerary, photographs, or travel details for marketing or promotional purposes, without your prior permission. The license in Section 16.4 applies only to content you affirmatively choose to submit to us for that purpose.

16.6  Third-party links. The Site may link to third-party websites. We do not control and are not responsible for their content, products, or privacy practices.

17. Disclaimers

17.1  The Site and our services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

17.2  We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any content is accurate, complete, or current.

17.3  Descriptions, photographs, ratings, and assessments of properties, destinations, and services are provided in good faith based on information supplied to us by Suppliers and third parties. We cannot be held responsible for inaccuracies in third-party materials, for changes made by a Supplier, or for any reliance placed on third-party ratings.

18. Limitation of Liability

18.1  JustKeeps Travel acts only as an agent in arranging travel and is not liable for any act, omission, default, injury, illness, death, loss, damage, delay, inconvenience, or additional expense caused by any Supplier, carrier, or other third party.

18.2  Without limiting the foregoing, we are not responsible for:

  • Physical injury, illness, death, loss, damage, inconvenience, or additional expense incurred by you, your party, or your guests, however caused;
  • Any vehicle, vessel, aircraft, or equipment used, hired, or engaged by you or your party;
  • Inability to reach, enter, or occupy any destination or accommodation as a result of missing or inadequate travel documentation, missed or cancelled flights, or disrupted connections;
  • Loss of or damage to personal belongings, valuables, or travel documents;
  • Any event described in Section 15 (Force Majeure).

18.3  To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or our services shall not exceed the service fees actually paid by you to JustKeeps Travel in connection with the booking giving rise to the claim.

18.4  In no event shall we be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost enjoyment, or loss of opportunity, even if advised of the possibility of such damages.

18.5  Some jurisdictions do not allow certain limitations of liability. Where that is the case, the limitations in this Section apply to the fullest extent permitted, and nothing here excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by our negligence, or for fraud.

19. Indemnification

You agree to indemnify, defend, and hold harmless JustKeeps Travel, LLC and its members, officers, employees, independent contractors, and affiliates from any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: your breach of these Terms; your violation of any law or Supplier requirement; your provision of inaccurate information; the conduct of you, your party, or your guests; or any claim brought by a member of your party arising from a booking you made on their behalf.

20. Dispute Resolution

20.1  Informal resolution first. Before commencing any formal proceeding, you agree to contact us at Hello@justkeepstravel.com and attempt in good faith to resolve the matter. Many disputes are resolved at this stage.

20.2  Notice and opportunity to cure. Before commencing mediation, arbitration, or any proceeding, you must send written notice to Hello@justkeepstravel.com describing the claim, the relief sought, and the facts supporting it. We have thirty (30) days from receipt to investigate and attempt to resolve the matter. No proceeding may be commenced until that period has expired. This requirement is a condition precedent to any claim against us.

20.3  Mediation. If not resolved informally, the parties shall submit the dispute to good-faith mediation within thirty (30) days of written notice, before a mediator mutually agreed upon by the parties. Mediation costs are shared equally.

20.4  Binding arbitration. If mediation does not resolve the dispute, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, with the seat of arbitration in Palm Beach County, Florida. Judgment on the award may be entered in any court of competent jurisdiction.

20.5  Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information, without first proceeding through mediation or arbitration.

20.6  Class action waiver. All claims must be brought on an individual basis. You and JustKeeps Travel each waive any right to bring or participate in a class, collective, consolidated, or representative action. If this waiver is found unenforceable as to a particular claim, that claim shall proceed in court rather than arbitration.

20.7  Attorneys' fees. In any dispute, claim, arbitration, chargeback proceeding, or collection action arising from these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and all costs of enforcement from the non-prevailing party.

20.8  Governing law and venue. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. For any matter not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Palm Beach County, Florida.

20.9  Time limitation. Any claim arising out of or relating to these Terms or our services must be brought within one (1) year after the claim arises, or it is permanently barred, except where a longer period is required by law.

20.10  No assignment of claims. You may not assign, sell, or transfer any claim against JustKeeps Travel to any third party, including any claims-aggregation or mass-arbitration service, without our prior written consent.

20.11  Survival. This Section 20 survives termination of these Terms and remains enforceable regardless of whether any other provision is found invalid.

21. Confidentiality and Discretion

21.1  We recognize that many of our clients, including executives, public figures, entertainers, and high-net-worth individuals, expect discretion, and that for some, privacy is as important as the travel itself.

21.2  We treat your identity as a client, your travel plans, destinations, dates, travel companions, itineraries, and booking information as confidential. We disclose them only as necessary to arrange and service your travel, to our professional advisors under confidentiality obligations, or where required by law, subpoena, or legal process.

21.3  We will not publicly identify you as a client, or use your name, likeness, itinerary, or travel details in any marketing, promotional, or social media context, without your prior permission.

21.4  Where you require heightened confidentiality arrangements, including non-disclosure agreements, enhanced confidentiality procedures, restricted internal access, or other privacy accommodations where lawful and permitted by the applicable Supplier, please tell us in advance and we will accommodate them where we reasonably can.

21.5  Confidentiality does not prevent us from disclosing information as described in Sections 10 (payment disputes) and 20 (dispute resolution) where necessary to establish, exercise, or defend a legal claim, or from complying with government, border, and immigration reporting requirements applicable to your travel.

21.6  This Section survives termination of these Terms.

22. Right to Refuse or Terminate Service

22.1  We reserve the right to refuse, suspend, or terminate services to any Client at any time where the Client, or any member of the Client's party, engages in abusive, threatening, harassing, fraudulent, discriminatory, or unlawful conduct toward our employees, independent contractors, Suppliers, or partners.

22.2  We may also refuse or terminate service where a Client provides materially false information, attempts to use our services for an unlawful purpose, has an unresolved payment dispute or outstanding balance, or repeatedly breaches these Terms.

22.3  Where we terminate under this Section, the cancellation and refund terms in Section 9 apply, and any resulting Supplier cancellation charges remain your responsibility. Amounts already earned by us, including service fees under Section 7.5, are not refunded.

22.4  Nothing in this Section obligates us to provide services to any person, and our decision to decline an engagement is made at our sole discretion.

23. General Provisions

23.1  Entire agreement. These Terms, together with your invoice, payment schedule, confirmed itinerary, our Privacy Policy, and applicable Supplier terms, constitute the entire agreement between you and JustKeeps Travel and supersede all prior discussions, proposals, and representations.

23.2  Changes to these Terms. We may update these Terms from time to time. The version in effect at the time you submit payment or approve a booking governs that booking. Material changes will be posted on the Site with an updated Effective Date.

23.3  Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms to any successor to our business or assets.

23.4  Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions shall continue in full force and effect.

23.5  Waiver. No waiver of any provision is effective unless in writing. Failure or delay in enforcing any provision is not a waiver of it.

23.6  No third-party beneficiaries. These Terms do not create rights in any person other than you and JustKeeps Travel.

23.7  Survival. Sections 1 (record of assent), 3, 6, 7.5–7.7, 8, 9, 10, 12, 13, 16.2, 17, 18, 19, 20, 21, 22, and 23 survive termination of these Terms.

23.8  Headings. Section headings are for convenience only and do not affect interpretation.
